1. Agreement to Terms

By accessing or using Loopjet ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

Loopjet LLC ("Company," "we," "our," or "us") operates the Service located at loopjet.io and app.loopjet.io.

2. Description of Service

Loopjet is a client experience platform for freelancers and consultants that enables users to:

Create, manage, and export client-facing documents (including invoices and estimates)
Generate documents using AI from natural language descriptions
Manage products, customers, and business information
Access multiple PDF templates in multiple languages
Integrate via API (available on PRO plan and above)

3. Account Registration

To use the Service, you must:

Be at least 16 years old
Provide accurate, current, and complete information
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
Be responsible for all activities under your account

You may not use the Service if you have been previously banned or if you are under 16 years of age.

4. Subscription and Billing

4.1 Subscription Pricing

Loopjet uses a subscription-based pricing model:

Loopjet Pro: $39 USD per month
Transaction Fee: 0.25% on payments collected via Loopjet (capped at $50 per transaction)
14-Day Free Trial: Full access to all features, no credit card required

All features are included with the subscription, including unlimited AI-powered estimates, inquiry form submissions, and activity reports.

4.2 Billing

Subscriptions are billed monthly via Stripe
Transaction fees are deducted from payments you collect through Loopjet
Payments are processed securely through Stripe
All fees are non-refundable except as required by law
We reserve the right to change pricing with 30 days notice
You are responsible for all taxes associated with your subscription

4.3 Free Trial

New organizations receive a 14-day free trial with full access to all features. No credit card is required to start the trial. After the trial ends, a subscription is required to continue using Loopjet. Your data is preserved after trial expiration.

4.4 Cancellation

You may cancel your subscription at any time. Your access continues until the end of your current billing period. Your data is preserved after cancellation, allowing you to resume service at any time.

5. Usage and Fair Use

Your subscription includes access to all features, including AI-powered features:

Unlimited AI-generated estimates and invoices
Unlimited AI activity reports
AI-powered inquiry form with automatic estimates
All other Loopjet features

You agree not to:

Abuse the Service through automated or excessive requests
Share your account with others outside your organization
Resell or redistribute the Service
Attempt to circumvent the subscription or payment system

6. API Access and Usage

API access is available only on PRO and Business plans. By using the API, you agree to:

Keep your API keys secure and confidential
Not exceed rate limits specified in the documentation
Not attempt to circumvent security measures
Use the API only for legitimate business purposes
Comply with all applicable laws and regulations

7. Intellectual Property

7.1 Our Property

The Service, including all content, features, and functionality, is owned by Loopjet LLC and protected by copyright, trademark, and other intellectual property laws. You may not:

Copy, modify, or distribute our software
Reverse engineer or decompile the Service
Remove proprietary notices or labels
Use our trademarks without permission

7.2 Your Content

You retain all rights to the content you create using the Service (invoices, estimates, customer data, etc.). By using the Service, you grant us a limited license to:

Store and process your content to provide the Service
Use AI to generate documents based on your input
Create backups of your data

8. Prohibited Uses

You may not use the Service to:

Violate any laws or regulations
Infringe on intellectual property rights
Transmit harmful code, viruses, or malware
Engage in fraudulent or deceptive practices
Harass, abuse, or harm others
Impersonate another person or entity
Collect user data without consent
Interfere with the Service's operation

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We are committed to GDPR compliance and protecting your data. Key points:

We do not sell your data to third parties
You can export or delete your data at any time
We use industry-standard security measures
We process data only as necessary to provide the Service

10. Termination

10.1 By You

You may delete your account at any time through your account settings. Upon deletion, your subscription will be canceled and no refunds will be provided for the remaining billing period.

10.2 By Us

We may suspend or terminate your account if you:

Violate these Terms
Fail to pay fees when due
Engage in abusive or fraudulent behavior
Use the Service in a manner that harms others or the Service

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE
DEFECTS WILL BE CORRECTED
THE SERVICE IS FREE OF VIRUSES OR HARMFUL COMPONENTS
RESULTS WILL BE ACCURATE OR RELIABLE

You are solely responsible for the accuracy of invoices and estimates you create and for compliance with tax and accounting regulations in your jurisdiction.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOOPJET LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Loopjet LLC from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Content you submit or create using the Service

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
